I, the undersigned interested Client, hereby present expression of interest towards VIOLINETTA SRLS, con sede in Viale Matteotti 18         26841 CASALPUSTERLENGO (LO) ITALIA  - P.IVA.: IT 14427580965 / C.F.: 14427580965 email sales@violinetta.it for the purchase of the above-mentioned Violinetta to the following Terms and Conditions: 

Terms and Conditions

1. Expression of interest

All the above-mentioned obligations will expire in case of non-acceptance of this expression of interest within the deadline set above. 

Therefore, in case of non-acceptance of VIOLINETTA Srls within the deadline of 90 days and/or consequent missed submission of the official Order Contract (see point 4), the Company undertakes to refund the interested client the deposit of Euro 3.000,00.

2. Commercial introduction 

Every supply of Violinetta ®, hereinafter referred to as “the Goods”, by VIOLINETTA Srls, hereinafter referred to as “the Company”, shall be subject to the following Terms and Conditions to the exclusion of any conflicting commercial terms and conditions (including, without limitation, any subsequent terms of purchase of the Order Contract).

The Company reserves the right to change production specifications, prices and delivery time even after the completion of this expression of interest, accepting the interested client, upon signing this form, that the Violinetta ® in which he/she is interested is being defined by the Company. 

3. Agreement and Object

The interested Client subscribing this proposal and paying the deposit of Euro 3.000,00 guarantees the number of production slot, which is assigned and communicated in written form to the interested client by VIOLINETTA Srls according to the chronological order of subscription of the expression of interest and of the payment of the deposit, and which identifies the Exemplar Number Reserved to the interested Client.

4. Orders

The Company shall not be bound by any order / proposal placed by the interested Client (whether or not in accordance with any quotation or offer made by the Company) until a Purchase Order Contract is officialised in written form and it is accepted by the Company in written form as well. 

Within 90 days from the completion of this expression of interest, VIOLINETTA SRLS , according to the price list published and supplied by the Company and to the final features and optional of the Violinetta agreed with the interested Client, undertakes to supply the interested Client with the written Order Contract and the final Quotation (the so-called Full Corporate Offer) of the definitive Violinetta  - Exemplar Number Reserved in the version chosen by the interested Client. 

The Order Contract with the related Final Quotation (the so-called Full Corporate Offer) is valid for 15 days after its delivery to the interested Client. 

Within this deadline the interested Client shall send acceptance in written form to the Company of both the Order Contract and the final Quotation and provide for  the confirmatory deposit of 40% of the final price (the so-called Full Corporate Offer) plus VAT if due and net of the deposit.

In the event that the buyer decides not to continue, VIOLINETTA Srls shall refund the deposit equal to EUR 2.700,00 (net of EUR 300 for management charges).

The interested Client is fully responsible for the accuracy of the proposal and any order, including (without limitation) all details and personal info. No order or order part made by the interested Client can be annulled by the interested Client without the written approval of the Company, which will be eventually allowed only in case that the Company will be fully indemnified for any losses (including loss of profit), costs (including production costs and materials used), damages and charges at the expense of the Company as result of the above-mentioned revocation.

5. Deposit - Assignment of the Exemplar Number Reserved. 

The deposit of Euro 3.000,00 shall be made upon subscription of the present proposal (within 5 days) by bank transfer on the following bank references:

The interested Client acknowledges that to finalize the present expression of interest and to be assigned of the Exemplar Number Reserved, as agreed at point 3, it is necessary to send a copy of the payment together with the present undersigned form to the Company. 

6. Prices and Payment.

The final price of the  Goods (Purchase Price) shall correspond to the price quoted in written form by the Company in the Order Contract, mentioning the details of the estimate or, in case the quoted price is no more valid (see below), shall correspond to the price given in the price list of the Company at the date of acceptance of the purchase order.

All quoted prices are valid for 15 days, after which the company can modify them by informing the interested Client.

Time for payment shall be of the essence. 

The company reserves the right to vary the price of the goods by notice to the customer at any time before the delivery if and to the extent that there is an increase (beyond the control of the company) of the manufacturing cost suffered by the company.

The price of the Goods is to be considered VAT excluded (unless otherwise specified) or any other applicable tax, import or duty excluded (including without limitation those payable on import or export), which the Customer shall pay in addition when he/she is due to pay for the Goods.

Unless otherwise agreed in written form, the payment of the balance must be made entirely within the delivery. 

7. Delivery

The delivery time of the definitive Violinetta - Exemplar Number Reserved will only be agreed with the completion of the Order Contract.

The Company will fix the delivery time of the Goods specified in the Order Contract according to the following guiding principles:

- Chronological order of the Exemplar Number Reserved with this form;

- Effective delivery by Citroen of the Jumper base vehicle to be modified, usually delivered within 90 days after the completion of the Order Contract.

Any delivery delay by Citroen will not be attributable to VIOLINETTA SRLS , who undertakes to keep the clients promptly informed. 

- Production capacity of the Company, equal to 6 units per month. 

- start production 7th January 2026  

Delivery of the Goods will take place at the registered office of VIOLINETTA SRLS  on the agreed and communicated day.  (or shipped to customer if requested). Delivery dates are indicative and given in good faith but are not guaranteed.

8. Title and risk

The interested Client shall have no right to inspect the Goods before the delivery or to inspect it during the production, unless agreed in written form by the Company.

The risk of damage to or loss of the Goods shall pass to the Customer as soon as the Goods leaves the Company's premises for delivery.

9. Warranty

Upon completion of the Order Contract, the Company directly or through other suppliers and/or associates will provide the legal guarantees required for the purchased Goods. The warranty is valid for the entire life of the good.

Any defect discovered during the warranty coverage must be notified in written form to the Company within 7 (seven) days from its discovery.

Deterioration such as discoloration, alteration or distortion of parts subject to a normal ageing are not covered by the warranty. 

Warranty coverage starts from the date of delivery of the Goods to the customer.

10. Force Majeure

The Company shall not be liable for any delay in or failure to perform any of its obligations under this contract and/or future agreement with the interested Client where such delay or failure is a result of any matter which is beyond the Company's reasonable control, such as earthquake, fire, flood, explosion, war or warlike action, terrorism, hostility, uprising, strike or other industrial action, or any orders, rules or restrictions of any government.

11. Advertising

The interested Client shall not use any trademarks or names belonging to the Company other than those applied to the Goods or provided by the Company.

The Client shall not, without the prior written consent of the Company, deface, mark or tamper in no way the Company's trademarks, or provided by the Company, on any Goods.

12. Compromissory Clause  

Any disputes arising between the parties relating to this contract, including disputes regarding its validity, effectiveness, interpretation, execution and dissolution, will be referred to an arbitration panel composed of three arbitrators.

Each party will nominate an arbitrator, whereas the third arbitrator, who will be the president, shall be appointed by common agreement of the other two arbitrators appointed.

In case of disagreement or inertia, the appointment shall be made, on request of the most diligent party, by the president of the court of Cremona.

The place of jurisdiction shall be in Cremona and the language of the proceedings will be Italian.

The arbitral tribunal shall decide according to the law and in accordance with the forms and manner given in Art. 806 ss. c.p.c. and the principle of the contradiction.

13. Severability

All provisions of this Expression of interest are intended to be distinct and severable.

If any provision of these Terms and Conditions is or is declared invalid or unenforceable in any jurisdiction, it shall be ineffective in such jurisdiction only to the extent of such invalidity or unenforceability.

Such invalidity or unenforceability shall not affect therefore the remaining provisions of this form and its validity and effectiveness.

14. Applicable law

These terms and conditions are governed by and shall be interpreted in accordance with Italian Law and the parties submit to the exclusive jurisdiction of the Italian Courts.

It is the Customer's responsibility to translate these Terms and Conditions if the Customer does not know the Italian language.

All communications between the parties about this proposal and/or future Agreement must be sent in written form to the registered office of the parties concerned.

Any change or waiver concerning these Terms and Conditions will not be binding unless the authorized representative of the parties agrees it in writing.
